Terms of Service

Effective 25 October 2026

These terms are an agreement between you and INSTROSOFT SDN. BHD. (“Cardly AI”, “we”, “us”), a company registered in Malaysia. They cover the Cardly AI mobile apps, the website at cardly.omsrim.org, public card and business pages, and the business directory (the “Service”). By creating an account or using the Service you accept these terms and our Privacy Policy.

1. Eligibility and accounts

  • You must be at least 13, or the minimum age in your country. To buy a subscription you must be able to form a binding contract.
  • Give accurate information and keep your sign-in details secure. You are responsible for activity under your account, so tell us promptly at [email protected] if you suspect misuse.
  • If you create an organisation, you are responsible for the members you invite and the content published under your brand.

2. Plans, subscriptions and payment

  • Free use: viewing and saving cards is free. Paid plans set how many cards you can publish and which features you can use, as described in the app and on our pricing page.
  • Billing and renewal: paid plans are subscriptions billed yearly in advance. They renew automatically at the then-current price unless you cancel at least 24 hours before the renewal date.
  • App Store and Google Play purchases: these are charged to your store account and handled under Apple’s or Google’s terms. Manage or cancel them in your store account settings. Refund requests for these purchases go to Apple or Google.
  • Website purchases: these are processed by Stripe. Manage or cancel them from the billing link in your account, or by contacting us.
  • Cancellation: your plan stays active until the end of the period you have paid for. We do not give partial refunds, except where the law requires.
  • Downgrades and expiry: if you downgrade or your subscription ends, your existing cards stay readable. Cards above your new plan’s limit are unpublished until you upgrade or reduce your card count.
  • Price changes: we may change prices with advance notice. Changes apply from your next renewal.
  • Enterprise: enterprise plans are agreed with us directly in writing.

3. Your content

  • You keep ownership of everything you add, such as card details, logos, photos, listings and reviews.
  • You give us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce and display your content only as needed to run and promote the Service. This includes showing your published cards and listings to anyone who has the link or finds them in the directory. The licence ends when you delete the content, except for copies others have already saved and anonymised reviews.
  • You confirm you have the rights to everything you publish, and that publishing it does not break any law or anyone else’s rights.

4. AI introductions

Cardly generates introduction scripts, voices and videos from details you provide. They are produced on your device and published only after you approve them. They are synthetic media and may contain mistakes, so review them before publishing. You are responsible for what you publish. Do not use AI introductions to imitate a real person’s voice or identity without permission.

5. Business directory, appointments and reviews

  • Listings: listings are reviewed before they go live and may be declined, hidden, suspended or removed. Merchants must keep their details accurate and have the right to represent the business.
  • Reviews: reviews must reflect a genuine experience. One review is allowed per customer per business. Owners may reply but not edit reviews. We may remove fake, paid, abusive, off-topic or conflicted reviews.
  • Appointments: appointment requests are arrangements between you and the card owner. We are not a party to them and do not guarantee they will happen.

6. Acceptable use

You must not:

  • publish unlawful, misleading, defamatory, hateful, sexually explicit or infringing content;
  • impersonate any person or business, or misrepresent an affiliation;
  • send spam, or collect other users’ data by scraping or automated means;
  • probe, overload or interfere with the Service, or get around its security, rate limits or plan limits;
  • use the Service for fraud, phishing or malware;
  • resell or sublicense the Service without our written permission.

7. Our rights and suspension

We may remove content or suspend or end accounts that break these terms or the law, or that put users or the Service at risk. Where reasonable, we will tell you why and give you a chance to respond. You can report content from any public page or by emailing [email protected].

8. Ending your account

You can delete your account at any time in the app (Profile → Delete account) or at cardly.omsrim.org/account/delete. See the Privacy Policy for what happens to your data. Deleting your account does not cancel an App Store or Google Play subscription, so cancel that in your store settings.

9. The Service

We work to keep Cardly reliable, but we may change, add or remove features, and the Service may sometimes be unavailable. The Service and its software, design and trademarks belong to us or our licensors. These terms give you no rights to them beyond using the Service.

10. Disclaimers

To the extent the law allows, the Service is provided “as is” and “as available”, without warranties of any kind. We do not guarantee the accuracy of user content, directory listings, reviews or AI-generated content. Nothing in these terms limits rights you have as a consumer that cannot be excluded by law.

11. Limitation of liability

To the extent the law allows, we are not liable for indirect, incidental, special or consequential losses, or for lost profits, data or goodwill. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim, or USD 50.

12. Indemnity

You agree to compensate us for reasonable claims, losses and costs arising from content you publish or from your breach of these terms. This does not apply to the extent we caused them.

13. App store terms

If you downloaded the app from the Apple App Store or Google Play, you also accept that store’s terms. Apple and Google are not responsible for the app or its support. For iOS users, Apple’s Licensed Application End User License Agreement applies alongside these terms, and Apple is a third-party beneficiary of them.

14. Governing law and disputes

These terms are governed by the laws of Malaysia. The courts of Malaysia have jurisdiction, but you keep any right to bring a claim in the courts where you live if your local consumer law gives you that right. Please contact us first; most issues can be resolved quickly.

15. Changes

We may update these terms. For material changes we will give notice in the app or by email before they take effect. If you keep using the Service after that, you accept the updated terms.
